OVERVIEW

This website is operated by Somatics, Incorporated, a North Carolina C-corporation operating Somatics Fitness & Nutrition ("SFN", "we", "us", "our"). By accessing or using any part of our website, services, or products, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree, you may not use our services.

SECTION 1 - ELIGIBILITY

By using our services, you represent that you are at least 18 years of age, that you have the legal authority to enter into this agreement, and that you will comply with all applicable laws and these Terms. We reserve the right to refuse service to anyone at any time for any reason.

SECTION 2 - SERVICES

SFN offers a range of fitness and wellness services, programs, digital content, physical products, and related offerings. The specific features, structure, format, and content of any service or program are determined solely by SFN and are subject to change at any time without notice. Enrollment in any program or service does not guarantee any specific deliverable, outcome, format, or level of access beyond what is expressly agreed upon in writing. SFN reserves the right to modify, limit, suspend, or discontinue any service or offering at any time at its sole discretion.

SECTION 3 - FITNESS DISCLAIMER

Our services are provided for general informational and educational purposes only and are not a substitute for professional medical advice, diagnosis, or treatment. You should consult a qualified physician before beginning any fitness program. Results are not guaranteed and will vary by individual.

SECTION 4 - PAYMENT & BILLING

All fees for services are agreed upon at the time of enrollment. You agree to provide accurate and complete billing information and authorize SFN to charge your payment method for all amounts due. Prices are subject to change. We will provide reasonable notice of any price changes. Payments are processed through secure third-party payment processors and we do not store your full payment information.

SECTION 5 - COMMITMENT & AUTO-RENEWAL

Certain programs require a minimum commitment period as specified at the time of enrollment. Choosing a payment plan does not reduce or alter the total financial commitment. The full obligation remains binding regardless of payment frequency or early termination by the client. At the conclusion of any initial commitment period, your agreement will automatically renew on a month-to-month basis unless SFN determines otherwise.

SECTION 6 - CANCELLATION

Clients may not cancel or modify their payment agreement without prior written consent from SFN. SFN reserves the sole right to cancel or terminate a client's agreement at any time at its discretion, but is under no obligation to do so. Any cancellation initiated by SFN does not entitle the client to a refund of any payments made.

SECTION 7 - REFUND POLICY

ALL SALES ARE FINAL. SFN maintains a strict no-refund policy. All payments are non-refundable once services have begun or products have been delivered, regardless of participation, completion, or early termination. No partial refunds or credits will be issued for any unused portion of any service or product. Any exception to this policy is made exclusively at the sole discretion of SFN, does not create any obligation or precedent, and does not waive any other term of these Terms or any agreement signed by the client.

SECTION 8 - TERMINATION

SFN reserves the right to terminate or suspend your access to any service at any time, without notice, for conduct that violates these Terms or is determined by SFN to be harmful. Upon termination for any reason, you will not be entitled to a refund of any payments made. All obligations accrued prior to termination survive.

SECTION 9 - INTELLECTUAL PROPERTY

All content, materials, programming, branding, and other assets provided by SFN are the exclusive intellectual property of Somatics, Incorporated and are protected by applicable law. You may not copy, reproduce, distribute, sell, or exploit any of our content or services without prior written permission.

SECTION 10 - PHOTO & VIDEO RELEASE

By participating in any SFN program or activity, you grant SFN the irrevocable right to use and publish photographs and video of you, and to use your name and likeness, for any promotional or publicity purpose without further compensation or permission.

SECTION 11 - CONFIDENTIALITY

SFN will keep your personal information confidential and will not disclose it without your prior written consent, except as required by law. You agree to keep confidential any proprietary information, programming, or materials shared with you through our services.

SECTION 12 - USER ACCOUNTS

If you create an account with us, you are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at support@somaticsfitness.com if you suspect unauthorized access. We reserve the right to suspend or terminate accounts at our discretion.

SECTION 13 - PROHIBITED USES

You agree not to use our services or platform for any unlawful purpose, to violate any applicable laws or regulations, to infringe upon the rights of others, to submit false or misleading information, to transmit malicious code, or to interfere with the security or integrity of our platform.

SECTION 14 - THIRD-PARTY LINKS & TOOLS

Our platform may include links to or integrations with third-party websites, tools, or services. We are not responsible for the content, accuracy, or practices of any third party. Use of third-party tools is entirely at your own risk.

SECTION 15 - PRIVACY

Your use of our services is subject to our Privacy Policy, available at https://somaticsfitness.com/policies/privacy-policy. By using our services, you consent to the collection and use of your information as described therein.

SECTION 16 - DISCLAIMER OF WARRANTIES

TO THE FULLEST EXTENT PERMITTED BY LAW, SFN PROVIDES ALL SERVICES, CONTENT, AND PRODUCTS "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR PRODUCE ANY SPECIFIC RESULT.

SECTION 17 - LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SFN AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE OUR SERVICES. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE TOTAL AMOUNT PAID BY YOU TO SFN IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

SECTION 18 - INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Somatics, Incorporated and its officers, directors, employees, affiliates, trainers, agents, and service providers from any claims, damages, liabilities, costs, or expenses including reasonable attorneys' fees arising from your breach of these Terms, your use of our services, your violation of any law or third-party rights, or any content you submit through our platform.

SECTION 19 - GOVERNING LAW & JURISDICTION

These Terms are governed by the internal laws of the State of North Carolina. Any claim or dispute arising under these Terms may be brought only in the federal or state courts located in Catawba County, North Carolina, and you consent to the exclusive jurisdiction of such courts.

SECTION 20 - SEVERABILITY & NON-WAIVER

If any provision of these Terms is found to be unenforceable, it shall be severed without affecting the remaining provisions. Any waiver by SFN of any provision shall not constitute a waiver of any other provision and shall not create any ongoing obligation to waive in the future.

SECTION 21 - CHANGES TO TERMS

We reserve the right to update these Terms at any time. Changes will be posted on our website with a revised effective date. Your continued use of our services after changes are posted constitutes your acceptance of the updated Terms.

SECTION 22 - ENTIRE AGREEMENT

These Terms, together with our Privacy Policy and any other policies posted by us, constitute the entire agreement between you and Somatics, Incorporated and supersede all prior agreements, whether oral or written.
